    Description

     

    In dieser Vorlesung soll das Handelsrecht konsequent als Wirtschaftsrecht gelehrt und verstanden werden. Als Anknüpfungspunkt für eine Gliederung des wirtschaftsrechtlich relevanten Stoffes wird das Unternehmen als Lebenssachverhalt gewählt. Dabei wird unterschieden zwischen den Innenbeziehungen im Unternehmen und den Aussenbeziehungen des Unternehmens.   Das Unternehmensinnenrecht umfasst vier Bereiche: Das Unternehmensinstitutionsrecht, das Unterneh­mensorganisationsrecht, das Unternehmensgüterrecht sowie das Unternehmensvertretungsrecht. Das Unternehmensaussenrecht umfasst ebenfalls vier Bereiche: Das Unternehmensverkehrsrecht, das Unternehmensmarktrecht, das Unternehmenskooperations- und Konzentrationsrecht sowie das Unter­nehmensverfassungsrecht. 
    Training objectives
    • Verstehen und Beherrschen aller Gesellschaftstypen des Schweizerischen Gesellschaftsrechts: Die Studierenden sind in der Lage, die verschiedenen Gesellschaften miteinander zu vergleichen und Unterschiede/Gemeinsamkeiten aufzuzeigen.
    • Verstehen und Beherrschen des klassischen Handelsrechts: Die Studierenden kennen sich im Handelsregister-, Buchführungs- und Firmenrecht aus und können dieses in Verbindung mit dem Gesellschaftsrecht anwenden.
    • Kenntnis der Aktualitäten des Wirtschaftsrechts: Die Studierenden wissen um aktuelle Debatten im Wirtschaftsrecht wie etwa die Corporate-Goverance-Diskussion und können Bezüge zum Gesellschafts- und Handelsrecht herstellen.
    • Überblick über das Fusionsrecht: Die Studierenden vermögen das Fusionsrecht überblicksartig zu erfassen.
    • Übungsveranstaltungen: Die Studierenden verstehen und beherrschen die in den Übungen vermittelten Theorieblöcke und Anwendungsfälle.
